MARNA Beteiligungen AG: - MARNA Beteiligungen AG plans majority takeover of the Flisom Group -

MARNA Beteiligungen AG (ISIN DE000A0H1GY2), with its registered office in Heidelberg, signed a term sheet with BD Vermögensverwaltungs GmbH on 25 July 2022 concerning the takeover of FL1 Holding GmbH by way of a capital increase through contribution in kind.

FL1 Holding GmbH in turn has signed a purchase agreement regarding the acquisition of Flisom AG, Switzerland (together the Flisom Group). Flisom is a developer and manufacturer of photovoltaic thin-film solar modules near Zurich, Switzerland and a state-of-the-art 40MW production plant in Hungary that went into operation in 2020. The company produces ultralight CIGS thin-film solar modules on flexible plastic film using proprietary roll-to-roll manufacturing techniques (flisom.com).

Flisom is well positioned to benefit from the megatrends behind the increasing demand for electricity (population growth, increasing prosperity and digitalisation, electromobility) and especially for green energy. Flisom's highly flexible solar modules can be adapted to any surface.

Flisom has a market-leading position in the roll-to-roll production of monolithic, lightweight, flexible solar modules on plastic film and was founded in 2005 as a spin-off of the Swiss Federal Institute of Technology Zurich (ETH). Flisom has developed products that can be used in various markets and segments that require lightweight, flexible solar films for which conventional solar modules are not suitable. Flisom's solar modules can be mounted on roofs and facades, are easily integrated into mobility applications (transport and space) and are suitable for highly specialised applications.

Simultaneously with the contribution of the Flisom Group, MARNA Beteiligungen AG intends to carry out a cash capital increase by issuing subscription rights to its shareholders at an issue price of EUR 3.00 per new share. The issue price for the new shares to be issued, as part of the contribution in kind for the contribution of the Flisom Group, has not yet been determined, as this is still to be determined as part of a valuation report.

The company's authorised capital of around EUR 15 million is to be used for the overall transaction, consisting of a capital increase in kind and a cash capital increase.

The proposed transaction is still subject to various conditions and is therefore still highly uncertain.
