conwert Immobilien Invest SE: conwert appoints advisers to thoroughly evaluate Deutsche Wohnen's takeover offer

Vienna (pta007/09.03.2015/08:00 UTC+1) conwert Immobilien Invest SE, traded on the Austrian ATX, announces that the Administrative Board has selected a team of advisers for the takeover offer announced by Deutsche Wohnen AG. J.P. Morgan will act as financial advisor for conwert and support the Administrative Board in evaluating the takeover offer made to shareholders. Binder Grösswang Rechtsanwälte will provide conwert with legal advice throughout the potential takeover process. BDO Austria will act as an expert pursuant to the Austrian Takeover Act.

conwert has achieved a positive operating performance in the past years and is well positioned to continue its strategy of focusing on residential property in Germany and Austria in 2015. The Administrative Board will thoroughly evaluate whether the consideration offered by Deutsche Wohnen AG and the other terms of the offer take adequate account of the interests of the shareholders of conwert, and what the probable effects of the offer would be on conwert based on the strategic plans of Deutsche Wohnen AG regarding conwert. The Administrative Board will, based on such thorough evaluation and after publication of the offer document, publish a response stating considerations on the offer. Currently conwert does not have access to any information on the offer other than the documents published by Deutsche Wohnen AG.
