10. Other useful information
Ergänzend weisen wir darauf hin, dass die S&T AG mit Stichtag 30.11.2016 weitere 706.833 Stück junge Aktien aus bedingtem Kapital ausgegeben hat, welche zum Zeitpunkt dieser Stimmrechtsmeldung noch nicht im Firmenbuch eingetragen sind. Ein entsprechendes Gesuch auf Eintragung ist beim Firmenbuchgericht anhängig. Für die Berechnung der Stimmrechtsschwellen gemäß §§ 91 ff BörseG wurden diese noch nicht eingetragenen jungen Aktien der im Firmenbuch ausgewiesenen Aktiengesamtzahl zugeschlagen, sodass die Gesamtzahl der Stimmrechte des Emittenten insgesamt 48.926.657 beträgt.
Die Herrn Dr. Rudolf Wieczorek zuzurechnenden Stimmrechtsanteile werden unmittelbar durch Herrn Dr. Rudolf Wieczorek (Beteiligung im Ausmaß von 0,00%, Anzahl der Aktien: 2.222) und mittelbar durch Krtek 13 AG (Beteiligung im Ausmaß von 3,65%, Anzahl der Aktien 1.787.667) gehalten. Die Krtek13 AG ist Herrn Dr. Rudolf Wieczorek, als deren Mehrheitsgesellschafter und Vorstand, gemäß § 92 Z 4 BörseG zuzurechnen.
Der Vollständigkeit halber verweisen wir auf die vorsorgliche Meldung von Herrn Dr. Wieczorek gemäß § 91a Abs 1 Z 3 iVm § 92 Z 4 BörseG vom 17. Oktober 2016. Auf Grund der nunmehr erfolgten Kapitalerhöhung der S&T AG haben die Herrn Dr. Wieczorek zurechenbaren Stimmrechte die Schwelle von 4 % unterschritten. Die Beteiligung von Herrn Dr. Wieczorek wird sich voraussichtlich wie folgt entwickeln: Im Zeitpunkt des Wirksamwerdens des am 13. Oktober 2016 unter anderem durch Krtek13 AG als Verkäuferin abgeschlossenen, aufschiebend bedingten Kauf- und Anteilsabtretungsvertrages über den Verkauf von insgesamt 9.800.000 Stück Aktien an der S&T AG, wovon 1.787.667 Stück auf die Krtek 13 AG als Verkäuferin entfallen, werden die Herrn Dr. Rudolf Wieczorek zuzurechnenden Stimmrechte an der S&T AG gemäß § 91a Abs 1 Z 3 iVm § 92 Z 4 BörseG an diesem Tag 0,00% (Anzahl der Aktien: 2.222) betragen. Die Krtek13 AG wird nicht mehr an der S&T AG beteiligt sein.
