Gentlemen's Equity S.A., a listed holding company based in Portugal (ISIN: PTGVE1AE0009), has unanimously decided to increase its share capital by Eur 600,000 to Eur 3,699,909.00 at its Annual General Meeting in Lisbon. By November 10, old shareholders and new investors have now the opportunity to subscribe 12 million fresh shares at a price of Eur 0.08 (8 cents) (nominal value Eur 0.05). http://www.gentlemensequity.com
Shares that are not subscribed within the 30-day period will be distributed pro rata among those shareholders who have subscribed for more shares than they would be entitled to. For this purpose, a further period of 15 days is valid. Any remaining shares should then be offered to third parties at a price of EUR 0.08 for a period of three months after the last subscription period for shareholders. The Management Board can reduce this deadline if the placement of the shares has been completed.
New shareholders and new shares will enjoy the same rights as existing ones. Deposits may also be made in kind, but in the latter case, a valuation report signed by a Portuguese auditor must be submitted.
On the General Assembly, 47.2627% of the company's capital were present, which meant that the meeting was a quorum. The management report, balance sheet and profit carryforwards of the profit for the year 2016 amounting to Eur 27,167.25 were approved unanimously, as was the discharge of the members of the Management Board.
