KTM Industries AG: Acquisition of 5.42% KTM Industries-shares by Pierer Industrie AG

Wels (pta027/21.11.2017/17:45 UTC+1) KTM Industries AG was informed by Pierer Industrie AG today as follows:

Pierer Industrie AG has acquired a total of 12,215,958 KTM Industries-shares (this corresponds to approximately 5.42% of the share capital) from board members of KTM Industries AG and persons having a close relationship to the company at a price of EUR 4.80 per share.

The sellers had acquired the shares in the course of a private placement in 2015. At the end of September 2017, Pierer Industrie AG offered the sellers the opportunity to sell a part of their shares in order to redeem their financing obligations in the context of the 2015 private placement prematurely.

The pricing was based on the stock market price of the month of September 2017 and on the average stock market prices of the previous months.

Thus, Pierer Konzerngesellschaft mbH still holds around 63.61% and Pierer Industrie AG around 5.42% of the share capital of KTM Industries AG.
