Capital increase of 5 million EUR announced

Lisbon/Paris/Zurich (pta020/28.08.2020/11:30 UTC+2) The board of Gentlemen's Equity S.A., a listed holding company based in Lisbon (ISIN: PTGVE1AE0009, code: MLGEQ, NIFC 509757995) invites Shareholders to the next Annual General Meeting on September 29, 2020 at 3 p.m. at the Altis Grand Hotel, Rua Castilho 11, 1269-072 Lisboa, Portugal. The agenda includes among other things to increase the nominal capital by EUR 500,000 with the aim of bringing up to EUR 5.0 million in fresh capital into the company.

The agenda in detail:

1. Discussion and approval of the annual report and the annual balance sheet including attachments for the 2018 financial year;
2. Resolution on the use of the results;
3. Discussion and approval of the business report and the annual balance sheet including annexes for the 2019 financial year;
4. Resolution on the use of the results;
5. Assessment of the work and aproval of the board and the supervisory body;
6. Appointment of corporate bodies and, if necessary, for all open or unoccupied offices.
7. Increase in the company's share capital from Eur 3,699,909.00 to Eur 4,199,909.00 and issue of up to 10 million new ordinary shares with a nominal value of Eur 0.05 (five cents) each at a price of Eur 0, 50 (fifty cents). Shareholders or third parties can take part in the capital increase; shareholders enjoy preventive rights when subscribing for the new shares in proportion to the number of shares they hold.

Please note that new entries may be in cash or non-cash (benefits). In the latter case, the subscriber must submit a valuation report signed by a Portuguese auditor and approved by the Board of Directors.
