NEW VALUE AG: Capital increase and broadening of New Value AG's portfolio

Baar (pta039/23.06.2021/22:25 UTC+2) Pursuant to the resolutions of the extraordinary general meeting of the Company on 18 June 2021, the Board of Directors has been mandated to increase the share capital of the Company by CHF 7,640,672. At its meeting today, the Board of Directors increased the share capital by CHF 7,640,672 from the previous CHF 34,521,772.30 to CHF 42,162,444.30 by issuing 7,640,672 fully paid-up registered shares with a nominal value of CHF 1 each and at an issue price of CHF 1 each against contribution in kind. The new registered shares were privately placed and are currently not listed on the stock exchange.
The payment was made through a contribution in kind of 906,319 Series A Preferred Shares and 9,000,000 Series B Preferred Shares of TLNT Holdings SA, Luxembourg, and through a contribution in kind of 474,681 shares (corresponding to 100%) of EyeEm Group GmbH, Berlin, Germany. The value of these contributions in kind was based on external, independent valuation reports and was confirmed by the auditors of New Value AG. In addition to shares, the shareholders of EyeEm Group GmbH received a cash payment of EUR 2,046,697.45.
EyeEm GmbH is a leading international photography marketplace with a global community. TLNT Holdings SA holds the operations of Zooppa.com and Ello.co, online platforms for creative professionals.
