TC Unterhaltungselektronik AG: Board of Management resolves capital increase against cash contributions from authorized capital

Koblenz (pta044/15.09.2021/21:05 UTC+2) At the Annual General Meeting of TC Unterhaltungselektronik AG (hereinafter: "Company") held on October 11, 2016, the Management Board was authorized until October 10, 2021 to increase the Company's share capital of EUR 1,277,288 by up to EUR 638,644 by issuing no-par value bearer shares.

With the approval of the Supervisory Board, the Executive Board of the Company today resolved a capital increase against cash contributions on the basis of the authorized capital under the Articles of Association, making partial use of the authorized capital 2016. The share capital of the Company will thereby be increased from EUR 1,277,288 to up to EUR 1,532,745 by issuing up to 255,457 new ordinary bearer shares (no-par value shares) with a notional interest in the share capital of Eur1.00 per no-par value share against cash contributions at a subscription price of Eur1.00 per no-par value share.
This increase corresponds to approximately 20% of the existing capital stock.

The new shares will be issued at an amount of Eur1.00 per no-par value share. The new shares will be offered to existing shareholders for subscription at a ratio of 1:5.

The new shares will carry dividend rights from 01.01.2022. The subscription price (issue price) is EUR 1.00 per new no-par bearer share.

With the approval of the Supervisory Board, the Executive Board will decide without delay on the acceptance of the subscription by the Company after expiry of the subscription period on September 30, 2021. The Executive Board will inform the shareholders admitted to subscription about the acceptance of the subscription and request payment to the capital increase account.
