CAG International AG: Annoucement today delays in the progress toweart the execution of definitve agreement for aqcuisition by CAG of IMS

pursuant to Article 17 para. 1 of the Regulation (EU) No. 596/2014 on
market abuse (Market Abuse Regulation).

CAG International AG ("CAG"), a company with shares admitted to trading
on the Direct Market segment of the Vienna MTF (Vienna Stock Exchange)
under ISIN CH0505534542 (Ticker Symbol: CAG:AV) announced today delays
in the progress towards the execution of definitive agreements for the
acquisition by CAG of Innovative Management Solutions, Inc., ("IMS") a
provider of project portfolio management services with offices in Dallas
and Houston, Texas. CAG had on 29 January 2021 announced the execution
of a term sheet with IMS for the acquisition of 100% of the outstanding
shares of the company.

CAG's management continues discussions with IMS but due to recent
developments does not anticipate consummating an acquisition prior to Q1
2022.
