MONTANA AEROSPACE SIGNS AGREEMENT TO ACQUIRE SÃO MARCO
Montana Aerospace AG (the "Company") and its operating subsidiaries (the "Group" or "Montana Aerospace"), a leading, highly-vertically integrated manufacturer and supplier of system components and complex assemblies for the Aerospace, E-Mobility and Energy sectors with worldwide engineering and manufacturing operations, today announces the signing of the acquisition of 100% of the shares of São Marco Industria y Comercio LTDA in Brazil ("São Marco") to strengthen its Energy and E-Mobility sector.
With more than 75 years of experience, São Marco is one of the main manufacturers of magnet wire and copper upcasting in Brazil, with around 300 employees. In addition, São Marco produces electro-insulating varnishes, resins and lubricants with highest quality, reliability and service. Thereby, São Marco generated yearly sales of approximately EUR 70 million.
With this acquisition, Montana Aerospace and its Energy & E-Mobility sector will further position itself to meet the market’s growth with innovative solutions created in collaboration with its customers. By combining São Marco and our existing capabilities in Brazil, Montana Aerospace intends to complement its product offering to its customers in the conductors and high-quality round wire segments and continue its path of constant development.
Over the last decade, Montana Aerospace consequently developed from a raw material extrusion supplier to a highly vertically integrated player. With the acquisition of São Marco, Montana Aerospace will further strengthen its competences in its Energy and E-Mobility sector from upcasting to enamelling, with additional capabilities in development and manufacturing of enamels & resins for round and rectangular wires, to meet customers’ needs for tomorrow.
Heinz Riedler, CEO of the Montana Aerospace Energy-Business says: "It is a great pleasure to welcome the dedicated and engaged team of São Marco in Montana Aerospace’s Energy sector. The combined operating experience, commitment and expertise will strengthen our entitlement to be a quality and development leader serving the Energy market and will boost our engagement in the market for electrical vehicles."
Sergio Valdes, CEO of Viakable, the direct owner of São Marco adds: "The São Marco team has stood out for its professionalism by offering highest quality in all products to support client projects. After 23 years of joint successes, we will enter a new stage through our combination with Montana Aerospace. I am convinced that São Marco will continue to provide highest value in the future and become the benchmark of the evolution of the Brazilian market."
The closing of the transaction is subject to regulatory and antitrust approvals. The parties agreed to not disclose the purchase price.
