Von Roll Holding AG: 199th Annual General Meeting held

all proposals of the Board of Directors approved

As planned, the 199th ordinary General Meeting of Von Roll Holding AG took place on May 4, 2022 at 10.30 a.m. at the headquarters in Breitenbach (Switzerland) without physical presence of the shareholders due to the Coronavirus Pandemic. All proposals presented by the Board of Directors were approved by a large majority of the shareholders.

The annual report, financial statements and consolidated statements as well as the actions of the Board of Directors and Group Management were approved for the financial year 2021.

Dr. Peter Kalantzis, Gerd Amtstätter, Guido Egli, August François von Finck and Dr. Christian Hennerkes were elected to another statutory one-year term as Members of the Board of Directors. Mr. Gerd Peskes did not stand for re-election and stepped down from the Board of Directors. In his place, Mr. Gerhard Bruckmeier was newly elected to the Board of Directors.
Dr. Peter Kalantzis was confirmed as Chairman of the Board of Directors.

All candidates for the Remuneration Committee, Gerd Amtstätter, Guido Egli and August François von Finck, were reelected. The proposal put forward by the Board of Directors to reelect Deloitte AG as statutory auditors for the fiscal year 2022 was confirmed. Both the fixed compensation for the Board of Directors and the Executive Board as well as the variable compensation for the Executive Board for the financial year 2021 were approved.
