Notification of Major Holdings

Biofrontera AG has been informed on January 26, 2023 by notification of Biofrontera Inc. according to § 43 WpHG in connection with their voting rights notification according to §§ 33 ff. WpHG dated December 29, 2022, regarding the exceeding of the threshold of 10%, the following additional information was provided:

"Dear Sir or Madam,
on December 29, 2022, we, Biofrontera Inc, Woburn, Massachusetts, United States of America, have notified you pursuant to Section 33 WpHG that the share of voting rights held by us in Biofrontera AG, Hemmelrather Weg 201, 51377 Leverkusen, Germany (the "Company"), exceeded the threshold of 10 percent on December 28, 2022.
We refer to this notification and inform you in addition pursuant to Section 43 (1) WpHG of the following:

1. objectives pursued with the acquisition:
a. The acquisition of voting rights in the Company serves the implementation of strategic objectives.
b. There is no intention of Biofrontera Inc. to acquire further voting rights in the company by purchase or otherwise within the next twelve months.
c. Biofrontera Inc. does not seek to influence the composition of the administrative, management and supervisory bodies of the company.
d. Biofrontera Inc. does not seek any significant change in the capital structure of the Company, in particular with regard to the ratio of equity and debt financing or the dividend policy.

2. origin of the funds used for the acquisition: The funds used for the acquisition of voting rights in the company are own funds.
