Altech Advanced Materials AG: Zero coupon convertible bond 2023/2027 fully subscribed

Altech Advanced Materials AG (hereinafter also "the Company") (FRA: AMA1) announces that the issued zero coupon convertible bond (see announcement of 09.02.2023) in the total nominal amount of up to EUR 3,531,250.00 has been fully subscribed. This zero-coupon convertible bond is divided into up to 3,531,250 partial bonds with a nominal amount of EUR 1.00 per partial bond (hereinafter the "Convertible Bond"). Each subscriber of the Convertible Bond for a nominal amount of EUR 1.00 per bond shall additionally receive, free of charge, an option right without nominal amount (hereinafter the "Warrant"), which is separate from the Convertible Bond and entitles the subscriber to subscribe to one share of the Company at the issue price or subscription price of EUR 1.00 per share ("Option Price") or, at the discretion of the Management Board of the Company, to a cash settlement. The two securities with ISIN: DE000A30V6D9 (Convertible Bond) and ISIN: DE000A30V6E7 (Warrant) will now be delivered to the subscribers in a timely manner. Payments that were made to the Company due to the oversubscription but could not be taken into account due to the oversubscription of the Convertible Bond will be repaid to the subscribers concerned shortly. The Convertible Bonds will be redeemed at their principal amount on 31 July 2027 ("Maturity Date"), unless previously converted or repurchased and cancelled. The Warrants have a term until 31 July 2027 ("Maturity Date").

The issue of the Convertible Bond with detached Warrant, together with the capital measures carried out by the Company in 2022, serves the Company's financing needs. This relates in particular to the financing share for the pilot plant for the anode coating material "Silumina Anodes™" in the joint venture Altech Industries Germany GmbH, Spreetal, as well as for the sodium-aluminium oxide solid-state battery project "CERENERGY®" in the joint venture Altech Batteries GmbH, Spreetal.
