Notification of Major Holdings

Koenig’sche Aktionärsvereinigung, (in short: KAV) has informed us pursuant to section 43 para. 1 WpHG on 24 Juli 2023 of the following:

1. Objectives of the acquisition (Sec. 43 (1) Sentence 3 WpHG)

a. The acquisition pursues the implementation of various strategic objectives.

b. On July 24, 2023, the reporting threshold of 15% of the voting rights was exceeded. Currently KAV holds a total of 2,751,704 shares, i.e. 16.7% of the voting rights in Koenig & Bauer AG, Würzburg, WKN 790350. At present, KAV does not intend to acquire further voting rights directly or indirectly within the next 12 months, but does not rule this out for the future.

c. KAV seeks to influence the composition of the Supervisory Board and the Executive Board of Koenig & Bauer AG, Würzburg.

d. KAV aims to change the current policy of the Supervisory Board and Management Board of Koenig & Bauer AG, Würzburg, with regard to the capital structure, the relationship between equity and debt financing and the dividend policy.

2. Origin of funds (Section 43 (1) Sentence 4 WpHG)
The voting rights originate from the members' own holdings.
