UMT United Mobility Technology AG: Action against KB Holding GmbH, Buchberger Baugeräte Handel GmbH and Buchberger Baumaschinen Service + Vermietung GmbH

The 1st Chamber for Commercial Matters of the Ingolstadt Regional Court dismissed the action brought by United Mobility Technology AG ("UMT AG", GSIN: A2YN70, ISIN: DE000A2YN702) against KB Holding GmbH, Buchberger Baugeräte Handel GmbH and Buchberger Baumaschinen Service + Vermietung GmbH at first instance in a judgment dated September 12, 2023 ("Judgment"). In its action, UMT AG seeks a declaration that it is the owner of all shares in Buchberger Baumaschinen Service + Vermietung GmbH and the owner of all shares in Buchberger Baugeräte Handel GmbH and the corresponding submission of lists of shareholders to the competent commercial register. The Free State of Bavaria and B2Btech GmbH joined the legal dispute on the side of UMT AG and joined the motions filed by UMT AG.

As a result of the judgment, the provisions of the settlement reached between the parties in the preliminary injunction proceedings (see ad hoc announcement dated October 31, 2022) no longer apply.

UMT AG considers the judgment to be grossly unlawful and has already filed an appeal against it with the Munich Higher Regional Court.

The judgment is thus not legally binding.
