NOTICE TO THE HOLDERS OF THE

EUR 240,000,000 SENIOR NOTES DUE 2024 (ISIN: XS1382379409) AND

EUR 32,727,273 MEZZANINE NOTES DUE 2024 (ISIN: XS2110110090)

(TOGETHER THE "NOTES")

ISSUED BY CASTILLA FINANCE DAC (THE "ISSUER")

THIS NOTICE IS IMPORTANT AND REQUIRES THE IMMEDIATE ATTENTION OF NOTEHOLDERS. THIS NOTICE CONTAINS IMPORTANT INFORMATION THAT IS OF INTEREST TO THE REGISTERED AND BENEFICIAL OWNERS OF THE NOTES. IF APPLICABLE, ALL DEPOSITORIES, CUSTODIANS AND OTHER INTERMEDIARIES RECEIVING THIS NOTICE ARE REQUIRED TO EXPEDITE TRANSMISSION HEREOF TO BENEFICIAL OWNERS OF THE NOTES IN A TIMELY MANNER. IF BENEFICIAL OWNERS OF THE NOTES ARE IN ANY DOUBT AS TO THE MATTERS REFERRED TO IN THIS NOTICE, THEY SHOULD CONSULT THEIR STOCKBROKER, LAWYER, ACCOUNTANT OR OTHER PROFESSIONAL ADVISER WITHOUT DELAY.

IF YOU HAVE RECENTLY SOLD OR OTHERWISE TRANSFERRED YOUR ENTIRE HOLDING(S) OF NOTES, YOU SHOULD IMMEDIATELY FORWARD THIS NOTICE TO THE PURCHASER OR TRANSFEREE OR TO THE STOCKBROKER, BANK OR OTHER AGENT THROUGH WHOM THE SALE OR TRANSFER WAS EFFECTED FOR TRANSMISSION TO THE PURCHASER OR TRANSFEREE.

We refer to the Terms and Conditions of the Notes and adopt the definitions set out therein.

Spanish court proceedings affecting the Originator Account

Pursuant to a letter dated 7 May 2024 from Toro Finance S.L.U, in its capacity as Servicer (the "First Letter"), addressed to the Issuer and the Cash Manager, the Issuer has been informed of legal proceedings in Spain against Toro Finance S.L.U which affects certain funds held in the Originator Account. According to the First Letter, as a result of these proceedings, an amount of approximately €2.1 million (the "Initial Funds") standing to the credit of the Originator Account was blocked by CaixaBank, S.A. as the Originator Account Bank.

Pursuant to a letter dated 15 May 2024 from the Originator Account Bank addressed to the Cash Manager (the "Second Letter"), the Issuer has been informed that, according to the Second Letter, an amount of approximately €350,000 (the "Subsequent Funds", and together with the Initial Funds, the "Funds") standing in the Originator Account was blocked by the Originator Account Bank.

The Issuer understands that the Funds have been released by the Originator Account Bank to the Spanish court.

A writ was filed with the Spanish court on 13 May 2024, on behalf of the Issuer, asserting the Issuer's claim over the Initial Funds. A subsequent writ was filed on 16 May 2024, on behalf of the Issuer, asserting the Issuer's claim over the Subsequent Funds.
