Ad hoc announcement, 24 June 2024: Breiteneder Immobilien Parking Konzernfinanzierungs GmbH announces the result of the Exchange Offer

On 14 June 2024, Breiteneder Immobilien Parking Konzernfinanzierungs GmbH (the "Issuer")(formerly: Best in Parking – Konzernfinanzierungs GmbH) published an invitation to the noteholders of its notes issued in 2018, ISIN AT0000A21LB6 (the "2018-Notes"), to submit offers to exchange their 2018-Notes for newly issued 4.875% p.a. fixed-interest notes in an aggregate principal amount of up to EUR 44,000,000.00, ISIN AT0000A3DGB3 (the "2024-Notes"), unconditionally and irrevocably guaranteed by Breiteneder Immobilien Parking AG (formerly: Best in Parking – Holding AG), with maturity in 2030 (the "Exchange Offer"). The exchange period ended on 24 June 2024, at 3.00 p.m. (CEST).

The Issuer has received valid offers from noteholder to exchange their 2018-Notes in 2024-Notes with the aggregate principal amount of EUR 14,454,000.00, which will be accepted by the Issuer in this amount.

In accordance with the exchange ratio of 1:1, 2024-Notes with a total principal amount of EUR 14,454,000.00 will be issued on the basis of the Exchange Offer. As a result of the conclusion of the exchange, the outstanding aggregate principal amount of the 2018-Notes will be EUR 29,546,000.00.
