conwert Immobilien Invest SE: Change in share of voting rights

In accordance with sec. 93 para. 2 of the Austrian Stock Exchange Act, conwert Immobilien Invest SE notifies that Barclays Plc (also for Barclays Bank Plc and Barclays Capital Securities Ltd according to sec. 5 para. 3 TransVO, jointly "Barclays") has on 13 August 2013, in accordance with sec. 91, 91a of the Austrian Stock Exchange Act, announced the acquisition of the following share of voting rights in conwert Immobilien Invest SE:

The share of voting rights of Barclays according to sec. 91 in connection with sec. 91a of the Austrian Stock Exchange Act has on 9 August 2013, exceeded the 5% threshold. Barclays are to be allotted a total of 4,357,899 conwert Immobilien Invest SE shares (Based on a total of 85,359,273 conwert shares, this corresponds to a voting rights stake of around 5.105%).

This shareholding (4,357,899 shares) can be broken down as follows (sec. 92a para. 1 Z 7 of the Austrian Stock Exchange Act):

1) 3.43% of voting rights are allotted to 2,927,749 conwert shares

2) 1.68% of voting rights according to sec. 92a para. 1 Z 5 and 6 of the Austrian Stock Exchange Act are allotted to the following total of 1,430,150 conwert shares related to financial instruments according to sec. 91a of the Austrian Stock Exchange Act:

2a) Single stock futures with cash settlement and delivery date of 20/09/2013 with regard to 280,000 conwert shares (around 0.33% of voting rights);
2b) Equity portfolio swaps with expiration date 06/03/2014 with regard to 97.343 conwert shares (around 0.11% of voting rights);
2c) Convertible bonds with conversion period 14/03/2010 to 25/01/2016 with regard to 923,362 conwert shares (around 1.08% of voting rights);
2d) Convertible bonds with conversion period 18/10/12 to 28/08/2018 with regard to 129,445 conwert shares (around 0.15 % of voting rights);

The voting rights are held by Barclays Plc indirectly via the controlled companies of Barclays Bank Plc and Barclays Capital Securities Ltd (as direct owner of the shares or financial instruments).
