conwert Immobilien Invest SE: Announcement of total number of voting rights pursuant to § 93(1) of the Austrian Stock Exchange Act

Vienna (pta016/29.01.2016/12:00 UTC+1) Pursuant to § 93(1) of the Austrian Stock Exchange Act, conwert Immobilien Invest SE announces that the total number of voting rights amounts to 94,593,612 at the end of January 2016. The share capital of the company amounts to EUR 472,968,060 and is divided into 94,593,612 ordinary bearer shares each with a calculated notional value of EUR 5.

As of 1 January 2015, the total number of shares amounted to 85,359,273. As of 30 December 2015 the total number of shares amounted to 90,065,143. The changes result from the issuance of shares from conditional capital as a result of the exercise of conversion rights by holders of the 5.25% convertible bond 2010-2016 of conwert Immobilien Invest SE. Of the total outstanding nominal value of EUR 100.2 mn at the beginning of 2015, bonds with a nominal value of EUR 98.9 mn were converted until the end of the conversion period on 25 January 2016.

According to the terms and conditions of the convertible bonds, the new shares issued from conditional capital are entitled to the same unrestricted rights to dividends as the company's ordinary shares. The new shares have the same ISIN as the ordinary shares (ISIN AT0000697750).
