UniCredit Bank Austria AG: Transfer of CEE Business and the shareholdings in this region

Wien (pta029/05.07.2016/13:25 UTC+2) As announced, UniCredit Bank Austria AG intends to transfer its business activities "CEE Business", which include the business in Central and Eastern Europe and the shareholdings of UniCredit Bank Austria AG in this region, by way of a spin-off to be carried out in accordance with § 17 in connection with § 1 par. 2 (2) of the SpaltG (De-Merger Act) to UCG Beteiligungsverwaltung GmbH, with its corporate seat in Vienna, registered in the company book of the commercial court in Vienna under FN 417796 g, by way of universal succession as of the spin-off effective date of 31 December 2015.

The documents required under § 17 SpaltG (De-Merger Act) in connection with § 7 par. 1 SpaltG (De-Merger Act) were submitted to the commercial register of the commercial court of Vienna on 29 June 2016.

Beginning 30 June 2016, the following documents are available at the seat of UniCredit Bank Austria AG (Schottengasse 6-8, 1010 Vienna):

1. the draft of the De-Merger and Acquisition Agreement and attachments, including the closing balance sheet of UniCredit Bank Austria AG as of 31 December 2015;
2. the financial statements and management reports of UniCredit Bank Austria AG for the last three business years and the Corporate Governance Report 2013 of UniCredit Bank Austria AG, as well as financial statements for the business years 2014 and 2015 of UCG Beteiligungsverwaltung GmbH;

Creditors are explicitly advised of their right, in accordance with § 7 par. 2 and 5 SpaltG (De-Merger Act), to access the aforementioned documents. Creditors of UniCredit Bank Austria AG may request a free copy of the documents specified in 1. and 2. above.
