Notification of Major Holdings

On 10 April 2018, AlternInvest GmbH, Vienna/Austria, exceeded the threshold of 10% of voting rights in Koenig & Bauer AG with 10.19% (1,683,428 voting rights). On 26 April 2018, AlternInvest GmbH notified Koenig & Bauer AG of the following with regard to the objectives pursued by the acquisition of the voting rights and the origin of the funds used for the acquisition in accordance with section 43 (1) WpHG:
1. The investment serves the implementation of strategic goals.
2. AlternInvest GmbH does not currently intend to obtain further voting rights by acquisition or otherwise within the next twelve months.
3. AlternInvest GmbH does not currently intend to influence the composition of the Management Board or the Supervisory Board of Koenig & Bauer AG.
4. AlternInvest GmbH does not currently intend to make any material changes to the capital structure of Koenig & Bauer AG, in particular with regard to the ratio of equity and debt financing and the dividend policy.
5. The acquisition of the voting rights by the AlternInvest GmbH took place exclusively on the basis of a free of charge contribution of the respective shares by MKB Holding GmbH. Therefore, AlternInvest GmbH did not finance the acquisition of voting rights either with its own funds or with external funds.
