Pierer Konzerngesellschaft mbH (transferring company) is the direct sole owner of Pierer Industrie AG (receiving company). Pierer Konzerngesellschaft mbH has in the course of a contribution without compensation transferred 141,943,660 shares of KTM Industries AG to Pierer Industrie AG pursuant to article III UmgrStG. The Agreement on the contribution has been signed on 9 May 2018. The transaction has been executed on 14 May 2018. Pierer Konzerngesellschaft mbH is indirect shareholder of KTM Industries AG and holds ist participation in Pankl Racing Systems AG not any more through KTM Industries AG but through Pierer Industrie AG and KTM Industries AG.
