NOTICE

pursuant to section 174 para. 2 AktG

The Management Board of DO & CO Aktiengesellschaft (the "Company") has declared to the Commercial Court Vienna as the Company´s court of registration that in the Company´s fiscal year ending on 31 March 2021, 1,000 convertible bonds with a denomination of EUR 100,000 each, thus convertible bonds with an aggregate principal amount of EUR 100,000,000 have been issued to institutional investors selected in an accelerated bookbuilding.

The convertible bonds have been issued on the basis of the resolutions of the Management Board dated 21 January 2021 on exercising the authorization granted by the extraordinary meeting of shareholders of the Company held on 15 January 2021 and with the approval of the Supervisory Board.

The declaration of the Management Board on the volume of the issuance of convertible bonds has been filed with the Commercial Court Vienna as the Company´s court of registration.
