Notification of Major Holdings

In a letter dated November 30, 2022, received on the same day, Biofrontera AG received the following notification on behalf of Bankhaus Gebr. Martin AG pursuant to section 43 (1) WpHG (German Securities Trading Act):

"Notification of objectives of holders of major shareholdings in the Company pursuant to Section 43 (1) of the German Securities Trading Act (WpHG)

We refer to our voting rights notification pursuant to sections 33 et seq. WpHG, in which we informed you on November 29, 2022, that our share of voting rights in your Company had exceeded the threshold of 10%. In addition, we hereby notify you of the following pursuant to Section 43 (1) of the German Securities Trading Act (WpHG):

1. the investment with regard to the acquisition of voting rights in Biofrontera AG serves neither the implementation of strategic goals nor the achievement of trading profits.

2. it is not intended to obtain further voting rights in Biofrontera AG within the next twelve months by acquisition or in any other way. However, the acquisition of further voting rights within the next twelve months is possible, e.g. if a favorable opportunity to do so arises.

3. We do not seek to influence the composition of the administrative, management or supervisory bodies of Biofrontera AG.

4. we do not seek any significant change in the capital structure of Biofrontera AG, in particular with regard to the ratio of equity and debt financing or the dividend policy.

5. 100% of the voting rights were acquired through third-party financing.
