Am 25. September 2024 hat CPI Property Group S.A. jeweils als Verkäuferin Aktienkaufverträge mit IMMOFINANZ AG als Käuferin über 20.806.596 Aktien von S IMMO AG und mit GENA NEUN Beteiligungsverwaltung GmbH als Käuferin über 7.434.498 Aktien von S IMMO AG abgeschlossen. Das Closing und die Übertragung der Aktien soll in der Woche ab 30.09.2024 erfolgen.
IMMOFINANZ AG hält direkt 20.806.596 Finanzinstrumente (entsprechend rd. 28,27%) an S IMMO AG und hat damit die Meldeschwellen von 4%, 5%, 10%, 15%, 20% und 25% überschritten (§ 131 BörseG 2018), sowie unter Zusammenrechnung mit den von IMMOFINANZ AG direkt gehaltenen 37.247.080 Aktien/Stimmrechten (entsprechend rd. 50,60%) die Meldeschwelle von 75% überschritten (§ 132 BörseG 2018).
GENA NEUN Beteiligungsverwaltung GmbH hält direkt 7.434.498 Finanzinstrumente (entsprechend rd. 10,10%) an S IMMO AG und hat damit die Meldeschwellen von 4%, 5% und 10% überschritten (§ 131 BörseG 2018).
Die Gesamtzahl der Stimmrechte an S IMMO AG, die Herrn Radovan Vitek zuzurechnen sind, hat sich dadurch nicht verändert.
