NEW VALUE AG: OMNIA Group Holdings AG signs an agreement to purchase a 44.5% stake in New Value AG

Baar (pta042/02.03.2021/20:00 UTC+1) OMNIA Group Holdings AG (OMNIA Global), Baar, signed an agreement to purchase a 44.5% stake in New Value AG. At the same time, OMNIA Global has undertaken to secure the financing of New Value AG for the fiscal year 2021/22 via loans.
According to the articles of association of New Value AG, there is no obligation for a takeover bid for the remaining shares (Opting-Out clause) and OMNIA Global does not intend to launch a public takeover offer to the public shareholders of New Value AG.
The Board of Directors of New Value AG is pleased that with OMNIA Global the search for an investor, who as an anchor shareholder of New Value AG can offer its shareholders a future perspective as a listed investment company, could be successfully concluded. The company will communicate about the further steps of the company's development after the closing of the transaction.
