Talenthouse AG: Postponement of publication of annual report 2022 until 31 May 2023

Talenthouse AG ("Talenthouse" or the "Company") has submitted a request to SIX Exchange Regulation AG ("SIX SER") to postpone the publication of the annual report 2022 and the filing of such report with SER, which has been approved by SER subject to certain conditions and reservations.

As already communicated, Talenthouse is in a restructuring phase. The board of the Company is confident that it will soon be able to conclude definitive agreements with investors. The implementation of such agreements shall ensure the going concern of the Company and the sustainably operating companies of the Talenthouse group. Thereupon the shareholders of the Company shall – at a still to be convened, extraordinary shareholders' meeting – decide on drastic capital measures and a new composition of the board of the Company.

In the course of the review of the figures and the business of the Talenthouse Group, issues came to light which require further time to be appropriately addressed, in order to have a clear picture, necessary to present the net assets, the financial position and the profit situation of the company in an accurate, complete and comprehensive manner.

Against this background, the board of the Company last week submitted a request to SER to postpone the publication of the annual report 2022 and the filing of this report. This request was approved by SER as follows (in German; informal English translation follows):

  1. Die Ausnahme von Aufrechterhaltungspflichten und damit der Aufschub der Publikation des Geschäftsberichts 2022 sowie die Einreichung dieses Berichts bei SIX Exchange Regulation AG bis spätestens Mittwoch, 31. Mai 2023 wird unter folgendem Vorbehalt (lit. a) und unter folgenden Bedingungen (lit. b und c) genehmigt:

SIX Exchange Regulation AG behält sich vor, allenfalls den Handel mit Effekten von Talenthouse vorübergehend einzustellen, wenn diese ihren Geschäftsbericht 2022 nicht bis spätestens Mittwoch, 31. Mai 2023, 23.59 Uhr nach den Vorschriften zur Ad hoc-Publizität (Art. 53 Kotierungsreglement i.V.m. Richtlinie betr. Ad hoc-Publizität) veröffentlicht und bei SIX Exchange Regulation AG einreicht.

  3. Talenthouse hat betreffend den vorliegenden Entscheid bis spätestens Dienstag, 2. Mai 2023, 7.30 Uhr, eine Medienmitteilung gemäss den Vorschriften zur Ad hoc-Publizität (Art. 53 Kotierungsreglement i.V.m. Richtlinie betr. Ad hoc-Publizität) zu veröffentlichen. Diese Medienmitteilung hat:
  • den vollständigen Wortlaut von Ziff. I des vorliegenden Entscheides an prominenter Stelle zu enthalten;
  • die Gründe für die Verschiebung der Publikation und Einreichung des Geschäftsberichts 2022 zu erwähnen.

  1. Talenthouse hat betreffend den vorliegenden Entscheid bis spätestens Montag, 15. Mai 2023, 7.30 Uhr, eine Medienmitteilung gemäss den Vorschriften zur Ad hoc-Publizität (Art. 53 Kotierungsreglement i.V.m. Richtlinie betr. Ad hoc-Publizität) zu veröffentlichen. Diese Medienmitteilung hat:
  • die ungeprüften Schlüsselkennzahlen (Key Figures) wie Nettoumsatz, EBITDA, EBIT, Reingewinn/-verlust, Bilanzsumme, Eigenkapital etc. in Bezug auf das Geschäftsergebnis 2022 zu nennen.

Informal English translation:

  1. An exemption from the maintenance obligations and thus the postponement of the publication of the annual report 2022 as well as the submission of this report to SIX Exchange Regulation AG until Wednesday, 31 May 2023, at the latest is approved subject to the following reservation (lit. a) and conditions (lit. b and c):

  2. SIX Exchange Regulation AG reserves the right to temporarily suspend trading in the securities of Talenthouse if it does not publish its annual report 2022 by 11:59pm on Wednesday, 31 May 2023 at the latest in accordance with the provisions on ad hoc publicity (art. 53 Listing Rules in conjunction with the Directive on Ad Hoc Publicity) and submit it to SIX Exchange Regulation AG.

  3. Talenthouse shall publish a media release regarding the present decision by Tuesday, 2 May 2023, 7:30am at the latest, in accordance with the provisions on ad hoc publicity (art. 53 Listing Rules in conjunction with Directive on Ad hoc Publicity). This media release shall:
  • contain the full text of Section I of the present decision in a prominent place;
  • mention the reasons for the postponement of the publication and submission of the annual report 2022.

  1. Talenthouse shall publish a media release regarding the present decision by Monday, 15 May 2023, 7:30am at the latest, in accordance with the provisions on ad hoc publicity (art. 53 Listing Rules in conjunction with Directive on Ad hoc Publicity). This media release shall:
  • mention the unaudited key figures (Key Figures) such as net sales, EBITDA, EBIT, net profit/loss, total assets, equity etc. in relation to the operating result 2022.
