Frequentis AG: Resolutions FREQUENTIS Annual General Meeting 2023:

Dividend, authorised capital, authorisation for convertible bonds, and conditional capital

The dividend for the 2022 financial year was approved by the Annual General Meeting at EUR 0.22 (22 cents) per no-par value share with dividend entitlement; payment will be made as of 7 June 2023.

In addition, under item 9 of the agenda, the Executive Board was authorised, among others, to increase the nominal capital by up to EUR 6,640,000 until 31 May 2028 with the possibility of a partial or full exclusion of subscription rights (authorised capital).

Furthermore, under item 10 of the agenda, the authorisation of the Executive Board to issue convertible bonds in a total amount of up to EUR 80,000,000 until 31 May 2028 (with the possibility of a partial or full exclusion of subscription rights) as well as a conditional increase of the nominal capital by up to EUR 6,640,000 (to service any conversion and/or subscription rights to shares of holders of any convertible bonds issued) was resolved.

The resolutions on agenda items 9 and 10 are renewals of previous resolutions.
