Talenthouse AG: Talenthouse resolves capital increase to strengthen its balance sheet

Talenthouse AG ("Talenthouse" or the "Company"), the leading technology platform connecting creatives and brands globally, today resolved to increase its share capital out of its authorized capital by issuing 45,652,907 new registered shares with a nominal value of CHF 0.10 each.
The purpose of the capital increase is to convert debt into equity. Interest claims from certain lenders in relation to the completion of the Coolabi acquisition as well as claims of significant shareholders that previously granted loans to the Company in connection with the Company's past acquisitions will be offset against the issue price.
The new shares will be issued at the average closing share prices of the 30 trading days prior to 7 July 2022 and 28 July 2022 respectively, in line with existing agreements. As the issue of shares is to support the refinancing of acquisitions, the subscription rights of shareholders will be excluded.
The share capital increase and the resulting conversion of debt into equity will strengthen the balance sheet of the Company. The capital increase will be implemented, and the newly issued shares will be listed on SIX Swiss Exchange, as soon as the requisite conditions are fulfilled.
