conwert Immobilien Invest SE: Change in share of voting rights

Vienna (pta010/04.03.2014/09:45 UTC+1) As per sec. 93 para. 2 of the Austrian Stock Exchange Act, conwert Immobilien Invest SE discloses that Barclays Plc (also Barclays Bank Plc and Barclays Capital Securities Ltd as per sec. 5 para. 3 Transparency Ordinance, jointly "Barclays") announced the partial acquisition of the following its voting rights in conwert Immobilien Invest SE on 28 February 2014, in accordance with sec. 91, 91a of the Austrian Stock Exchange Act,:

As per sec. 91, 91a of the Austrian Stock Exchange Act, the share of voting rights of Barclays exceeded the 5% threshold on 26 February 2014 and subsequently amounted to 5,004,559 conwert Immobilien Invest SE shares. Based on a total of 85,359,273 conwert shares, this corresponds to a voting rights stake of around 5.87%.

This shareholding (5,004,559 shares) breaks down as follows (sec. 92a para. 1 (7) of the Austrian Stock Exchange Act):

+ 3.49% of voting rights are allotted to 2,975,388 conwert shares

+ As per sec. 92a para. 1 (5,6) of the Austrian Stock Exchange Act, 2.38% of voting rights are allotted to the following financial instruments related to 2,029,171 conwert shares in accordance with sec. 91a of the Austrian Stock Exchange Act:

- Equity portfolio swap, due date 30/09/2014 with regard to 2,819 conwert shares (less than 0.00% of voting rights);

- Equity portfolio swap, due date 06/04/2015 with regard to 16,897 conwert shares (around 0.02% of voting rights);

- Single stock future with cash settlement and delivery date of 21/03/2014 with regard to 280,000 conwert shares (around 0.33% of voting rights);

- 5.25%-Convertible bonds with conversion period 14/03/2010 to 25/01/2016 with regard to 904,894 conwert shares (around 1.06% of voting rights);

- 4.50%-Convertible bonds with conversion period 18/10/2012 to 28/08/2018 with regard to 824,561 conwert shares (around 0.97% of voting rights).

The voting rights are indirectly held by Barclays Plc, based in London, indirectly via the controlled companies of Barclays Bank Plc and Barclays Capital Securities Ltd (as direct owner of the shares and/or financial instruments).
