Gentlemen's Equity S.A.: Gentlemen's Equity to issue 10 million fresh shares

Subscription period runs until November 18, 2021

Lisbon / Paris / Zurich (pta021/24.11.2020/11:00 UTC+1) Gentlemen's Equity S.A., a listed holding company based in Portugal (ISIN: PTGVE1AE0009, MLGEQ) decided at its annual general meeting in Lisbon to increase the share capital by EUR 500,000.00 to EUR 4,199,909.00. Existing shareholders have a pre-emptive subscription right until December 17th and can thus subscribe 10 million fresh shares at a price of EUR 0.50 (fifty cents) (nominal value = EUR 0.05). http://www.gentlemensequity.com

Any remaining shares will be offered - after the subscription period for existing shareholders has expired - to third parties within one year by November 18, 2021 at a price of EUR 0.50. However, the Management Board can shorten this period once the placement of the shares has been completed.

New shareholders and new shares will enjoy the same rights. Contributions can also be made in kind and/or in company shares, but in the latter case a valuation report signed by a Portuguese auditor must be submitted and approved by the board of Gentlemen's Equity SA.
