Determination of AGM 2025 agenda items (including changes to the Board of Directors)

Montana Aerospace AG (the "Company") and its operating subsidiaries (the "Group" or "Montana Aerospace"), a leading, highly-vertically integrated manufacturer and supplier of system components and complex assemblies for the aerospace and energy industries with worldwide engineering and manufacturing operations, announces that the board of directors of the Company (the "Board of Directors") has determined the agenda of the annual general meeting (AGM) to be held on 20 May 2025.

The items on the agenda of the AGM include the following changes to the Board of Directors:

• Co-Chairperson Thomas Williams is retiring from the Board of Directors. Current Co-Chairperson DDr. Michael Tojner is proposed to be elected as sole Chairperson of the Board of Directors.
• It is further proposed that Dr. Michael Pistauer, currently CO-CEO & CFO of the Group, be newly elected to the Board of Directors.

After significantly shaping Montana Aerospace over the past years and driving significant milestones e.g. the IPO in 2021, Dr. Michael Pistauer will gradually withdraw from the management team of Montana Aerospace AG over the coming months, following his election to the company's Board of Directors, enabling an orderly handover to a new CFO to be appointed in due time. In his role as board member, Mr. Pistauer will nevertheless continue to play a very active role and will assume a key supervisory and monitoring function for the operating management team. The new structure of the Board of Directors with Mr. Pistauer reflects the company's clear focus on becoming a pure play in Aerostructures and is strongly supported by this step.

In addition, Thomas Williams, who has contributed significantly to the Group's success in recent years since its IPO, will – after stepping down as a member of the Company's Board of Directors – remain available to actively support on Montana Aerospace' strategy in an advisory capacity.
