Announcement of the intended disposal of treasury shares according to sec. 82 para. 9 of the Austrian Stock Exchange Act in conjunction with sec. 5 para. 1 Publication Directive

At the Annual General Meeting on 31 May 2012 the Administrative Board of conwert Immobilien Invest SE was authorised to acquire treasury shares and to sell repurchased treasury shares. The resolution was published on the website http://www.conwert.at on 31 May 2012.

+ Planned date of sale: 3 June 2013
+ Class of shares: common shares (CWI/AT0000697750)
+ Volume: 12,500 common shares (roughly 0.015% of issued capital)
+ Disposal price: EUR 12.50 per common share (Premium of 51.2% above the closing price of the common share at 18 April 2013)
+ Form of disposal: ex-pit
+ Purpose: Use as acquisition currency for the (indirect) acquisition of a minority share in Pd sk bratislava s.r.o., an (indirect) subsidiary of conwert Immobilien Invest SE
+ Possible effect of the disposal on the admission to listing of the shares: none
